Terms of Service

These Terms of Service ("Terms") govern your access to and use of Keep, a backend-as-a-service platform operated by SummitFlux LLC ("SummitFlux," "we," "us," or "our"). By accessing or using Keep, you agree to these Terms.

1. Services

Keep includes: (a) the self-hosted Keep software, distributed under the Elastic License v2; (b) the managed Keep service hosted at keep.bastionary.com; and (c) the Keep TypeScript SDK and Python SDK. Keep requires a valid Bastionary account for authentication and license validation.

2. Accounts and Authentication

Keep authentication is handled by Bastionary. To use Keep, you must maintain a valid Bastionary account in good standing. You are responsible for the security of your Bastionary credentials and for all API activity under your tenant.

4. Self-Hosted Software

The Keep server software is licensed under the Elastic License v2 (ELv2). You may use, copy, and modify the software for your own internal purposes. You may not provide the software as a managed service to third parties. The full license text is included with the software distribution.

5. Managed Service

The managed Keep service at keep.bastionary.com is provided on a subscription basis via Bastionary licensing. We will use commercially reasonable efforts to maintain 99.9% uptime (excluding scheduled maintenance). API versioning (/v1/ prefix) is maintained; breaking changes require 30 days' notice.

6. Data Processor Terms

When you store customer data in managed Keep, SummitFlux acts as a data processor on your behalf. You are responsible for ensuring you have the appropriate legal basis to store and process that data. A Data Processing Addendum (DPA) is available on request at [email protected].

7. Payment and Billing

Keep access is bundled with Bastionary licensing. Billing terms are governed by your Bastionary subscription agreement. Keep quota overage charges, if applicable, are non-refundable unless applied in error.

Your use of data is governed by our Privacy Policy.

9. Intellectual Property

SummitFlux retains all rights to the Keep software, trademarks, and documentation. You retain all rights to your data. Use of the Keep or SummitFlux name, logo, or brand requires prior written consent.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMMITFLUX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

SUMMITFLUX'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID IN THE TWELVE MONTHS BEFORE THE CLAIM. IN NO EVENT SHALL SUMMITFLUX BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of law principles. Disputes shall be resolved in the courts of Colorado.

13. Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days' notice via email for material changes. Continued use after the effective date constitutes acceptance.
